GENERAL CONDITIONS OF INTERNATIONAL SALES Tacit agreement: Unless special agreement written with the customer, placing an order implies full acceptance of these general conditions of sale: OFFERS: Offers made by the seller are without obligation. In order to be legally valid, all declarations of acceptance and all orders must be confirmed by the Seller in writing, email or fax. This also applies to all additions and changes. RATES AND PAYMENTS: - European companies with an international VAT registration number are not subject to VAT for deliveries outside France. - European companies without an international VAT registration number are subject to French VAT (20%). - Companies outside Europe are not subject to VAT. - Rates are in Euro (€) Exworks (Incoterm 2010), departure from CHADOG DIFFUSION’s warehouse, Aytré, France. - These commercial terms and the prices can be modified by CHADOG DIFFUSION at any time and without prior notice, because of exchange rates, costs of raw material or management decision. - Orders are shipped once full payment is received. -Orders are sent once the full payment has been received. - The general conditions of international sales and deliveries of Chadog Diffusion are applied on all our offers, contracts and invoices placed. You received a copy of the present conditions by mail with your price list. You agreed those conditions when you agreed your quote. Our goods remain our property as long as the debts arising from the future and present business relationship with the seller haven’t been fully paid. None discount will be given for any anticipated payment. Where the buyer is in arrears the seller is entitled, as of the relevant point in time, to claim interest at the rate charged by his business bank for overdrawing a current amount, at a minimum rate, however at least of 8% above the prevailing base rate and a minimum of 40€ for collection fees (Directive 2011/7/UE). PACKAGING AND SHIPING: -Prices given are Exwork (Incoterm 2010), departure from Chadog’s warehouse. -Quotations are made EXW or DAP (Incoterm 2010), for other Incoterm, please contact us. -Orders are prepared once the full payment has been received. -Shipping and custom fees are at the charge of the buyer. Dispatch to the final destination is at the expense and risk of the receiver. Dangerous goods : Pressurized sprays, perfumes containing alcohol or other known dangerous products, which are subject to IATA Declaration on air transport will be removed from orders sent by airmail, or subject to a flat fee of € 300 for the establishment of the Declaration of dangerous Goods by air, as well as the specific adequate packing and labeling for this type of shipment. The above flat fee does not include shipping. For shipments of these products by sea (IMDG Declaration) Chadog provides the Declaration of dangerous goods. CLAIMS AND RETURNS: Delivery will be made on the basis of a written confirmation of the order, by email or fax, if no written confirmation has been established on the the vendor’s invoice basis. On reception of goods: • The customer must check the status of the goods delivered upon delivery and BEFORE signing the delivery receipt provided by the carrier. All anomalies noticed must be registered as handwritten express reserves accompanied with your signature on the delivery receipt, if the package has one or more damages, clear and precise reservations must be listed on the delivery receipt. Ex : «Carton ripped, three shampoos missing .» • A registered letter will have to be sent to the carrier within 72 hours as well as a copy to our company. • Remember that the words «subject to unpacking» have no legal value (simple reserves are not legal). You should at least check: the good condition of the pallet and parcels, the presence of an opaque film or transparent tape + Chadog diffusion Warranty tape. The number of pallet and parcels must be in accordance with what is indicated on the delivery slip. In the case that no reservations of the above points were made on the delivery slip, we will not take into account any subsequent claim. Returned goods will be accepted with prior arrangement. All freight costs arising will be at the customer’s charge. Goods must be returned in their original package and mint condition. WARRANTY: Products are warranted against manufacturing defects for the period of one year from the original purchase date. Any technical intervention without former authorization from Chadog will cancel the warranty. The warranty takes effect from the billing date of the products. The warranty does not cover damage due to misuse or negligence. All freight costs arising will be at the customer’s charge. The warranty is limited to replacement of defective parts and does not cover external parts (electric cable, switches, plugs, remote controls, batteries…) RETENTION OF TITLE: Our goods remain our property as long as the debts arising from the future and present business relationship with the seller haven’t been fully paid. If the buyer fails to fulfil the obligations he has towards the seller, the latter shall be entitled, after a reminder and without prejudice, to request the return of the reserved goods. The seller shall be entitled to collect the goods himself. CHOICE OF LAW, PLACE OF PERFORMANCE, PLACE OF JURISDICTION, PARTIAL INVALIDITY: In case of dispute, the Tribunal de Commerce de La Rochelle, France, is the only competent, or failing that, any other competent court, the closest to the registered office of CHADOG DIFFUSION, in France. This also applies in case of summary judgment, incidental claims or multiple defendants. Pictures are not contractual - typographical errors may occur. Any copy or use, partial or total, of the images, photos or sites belonging to Chadog Diffusion must be subject to prior Chadog Diffusion agreement. These conditions of sale can be reviewable by the company Chadog Diffusion at any time and without notice. The business relationship between the seller and the buyer shall be governed in its entirety by the French law (French Commercial Code, French Civil Code, French Penal Code etc…), excluding the UN Convention on International Sale Contracts. The contract is written in English. The French language will be used for any legal action. If individual clauses of these sale and delivery conditions are fully or partially invalids, this will not affect the effectiveness of other clauses.
